Martin Chan

Martin Chan is a Consultant at TITUS.

Martin is a Hong Kong solicitor whose practice covers capital markets and securities, funds, trusts and regulatory licensing, start-up financing, digital assets, privacy and data governance, and litigation and arbitration. He acts for companies, founders, investors, trustees, licensed corporations and private clients, often on matters where corporate, regulatory and technology issues meet.

In capital markets and securities law, Martin advises on pre-IPO restructuring and preparatory work for issuers seeking listings on the HKEX, Nasdaq and the NYSE, and on listed-company compliance under the Listing Rules and the Code on Takeovers and Mergers, including directors' duties, connected transactions and the protection of shareholders. In debt capital markets, he has acted as the key contact person of the offshore legal team representing a PRC issuer in a private placement of over CNY 1 billion of bonds in the Shanghai Free Trade Zone. He has also spearheaded the acquisition of commercial real estate with a listed company as counterparty. He has been nominated as an independent non-executive director of a company pursuing a listing in the United States.

In funds, trusts and regulatory licensing, Martin advises on the formation and governance of onshore and offshore vehicles, including limited partnership funds, open-ended fund companies, segregated portfolio companies and trusts. His advice covers choice of jurisdiction, constitutional and trust instruments, trustee powers and beneficiary rights, and his trust work includes cryptocurrency trust arrangements established by a listed company. His regulatory licensing work covers SFC licensing and regulatory perimeter questions, trust or company service provider (TCSP) licensing, ongoing compliance for licensed corporations, and anti-money laundering and counter-terrorist financing obligations. He also acts on private mergers and acquisitions of regulated businesses, including SFC-licensed corporations, TCSP licensees, insurance brokers, money service operators and money lenders, and the regulatory approvals they require.

In start-up financing, Martin advises founders, investors and companies from seed and venture rounds through to pre-IPO restructuring, including SAFE instruments, employee share option plans, and subscription, shareholders' and joint venture agreements. He also advises Mainland Chinese and Hong Kong enterprises on offshore holding structures and overseas expansion. He has been legal adviser to a number of technology companies, including an HKUST-incubated satellite and AI-powered climate-intelligence company, which he advised on its fundraising and on a successful project application under the Government's RAISe+ Scheme, an optical transmission technology start-up and biotech companies.

In digital assets, Martin advises on the Hong Kong legal and regulatory aspects of cryptocurrency wallet initiatives and real-world asset (RWA) tokenisation, including for clients whose businesses extend into South East Asia and the Middle East. He also advises on AI-generated drama projects that use SocialFi models for decentralised content ownership and traffic monetisation. He has advised on an investment in an overseas Web3 and AI venture fund.

In privacy and data governance, Martin advises on personal data privacy and cross-border data governance, including export control issues in data transfers, helps corporations draft data incident response plans and data protection protocols, and acts in disputes relating to breaches of privacy and doxxing. He holds professional certificates in digital data, artificial intelligence and blockchain technology.

In litigation and arbitration, Martin acts in civil and commercial proceedings before the Hong Kong courts and in arbitration before the Hong Kong International Arbitration Centre, and has been involved in arbitration before the Shenzhen Court of International Arbitration. His disputes work includes shareholder and investment claims, unfair prejudice petitions, just and equitable winding-up, directors' breach of duty and costs proceedings. He also advises on regulatory investigations and enforcement matters, including those involving the SFC. He is an Associate of the Chartered Institute of Arbitrators.

Martin speaks and writes on the regulation of financial technology. He has taught continuous professional training (CPT) for the Hong Kong Securities Association on securities regulation as it applies to superintelligence (SI), quantitative trading and tokenisation, and was interviewed by Phoenix New Media for its Digital Economy coverage on the Stablecoins Ordinance.

Martin is also legal adviser to the Community Emergency Aid Team and the Hong Kong Technology Advancement Group.

Martin graduated from the University of Sydney with a Bachelor of Laws and a Bachelor of Arts, receiving an award in the law of trusts and equity and another in foundations of law. He completed his PCLL at the City University of Hong Kong, where he was named on the Dean's List.
